Proofpoint has agreed to acquire data security company Varonis in an all-cash deal valued at approximately $6.3 billion, or $49.75 per share.
The price represents a 52% premium to Varonis' closing price on June 22. The transaction is expected to close in the first half of 2027, subject to shareholder and regulatory approvals, and would take Varonis private.
Varonis, founded in Israel and based in Sunnyvale, California, focuses on protecting enterprise data and securing AI systems. Co-founder, CEO and chairman Yaki Faitelson said the deal will accelerate that mission, while Proofpoint CEO Sumit Dhawan said the acquisition strengthens Proofpoint's cybersecurity platform.
Consolidation in cybersecurity is intensifying, and the value of the deal depends on integrating overlapping products and retaining enterprise customers. A transaction of this size also carries regulatory and shareholder risk, and the combined company will need to show that scale produces better protection rather than simply a broader portfolio.
